SSQ CONSULTING COMPANY CONTRACT
THIS AGREEMENT is made as of _________________________, 2006 between ____________________________________ (“Client”) and LONI PARMELLY dba SSQ CONSULTING COMPANY (“Consultant”) regarding property to be determined.
In the event of a conflict in the provisions of any attachments hereto and the provisions set forth in this Agreement, the provisions of such attachments shall govern.
Services. Consultant agrees to perform for Client the services listed in the Scope of Services section in Exhibit A, attached hereto and executed by both Client and Consultant. Such services are hereinafter referred to as “Services.” Client agrees that consultant shall have ready access to Client’s staff and resources as necessary to perform the Consultant’s services provided for by this contract.
Rate of Payment for Services. Client agrees to pay Consultant for Services in accordance with the schedule contained in Exhibit B attached hereto and executed by both Client and Consultant.
Invoicing. Client shall pay the amounts agreed to herein upon receipt of invoices which shall be sent by Consultant, and Client shall pay the amount of such invoices to SSQ Consulting Company, P.O. Box 182184, Arlington, Texas 76096.
Default. Invoices are due upon receipt. In the event of any default in payment, and if the same is referred to an attorney at law for collection or any action at law is brought with respect hereto, the Client is liable for payment to Consultant of all expenses, costs, and other fees as listed in Exhibit B attached hereto, including, but not limited to, attorney’s fees.
Confidential Information. Each party hereto (“Such Party”) shall hold in trust for the other party hereto (“Such Other Party”), and shall not disclose to any non-party to the Agreement, any confidential information of Such Other Party. Confidential information is information which relates to Such Other Party’s research, development, trade secrets or business affairs, but does not include information which is generally known or easily ascertainable by non-parties of ordinary skills in computer systems design and programming.
Consultant hereby acknowledges that during the performance of this contract, the Consultant may learn or receive confidential Client information and therefore Consulting hereby confirms that all such information relating to the Client’s business will be kept confidential by the Consultant, except to the extent that such information is required to be divulged to the Consultant’s clerical, support staff, or associates in order to enable Consultant to perform Consultant’s contract obligation or with the express written consent of the Client.
Acknowledgement. Each party whose signature appears below acknowledges that he has read all of the provisions of the foregoing agreement and addendums attached as “Exhibits”, and understands them, and has sought independent advice regarding the legal effect of the provisions herein, and agrees to be bound by such provisions.

SSQ CONSULTING COMPANY EXHIBIT A Scope of Services
Subject Property: _________________________________________________________
The Client will receive consultation services by Loni Parmelly dba SSQ Consulting Company on an hourly basis, per subject property. Consultation services will be timed by the Consultant, with verifiable records upon request.
Client will be prepared with questions, property conditions, seller information, mortgage information, mortgage/bankruptcy contacts, or documents regarding a specific subject property. Each subject property is considered a new consultation session and will be charged, as such.
The Consultant will provide concise information and suggestions, when available. All information given by the Consultant is based on experience and knowledge of the Mortgage Lender’s Loss Mitigation options. The Consultant is not an attorney or CPA. The Client should seek counsel from an attorney or CPA on any state specific issues or legal advice.
Consultation Services may include, but are not limited to, free-style consulting, mortgage analysis, financial analysis, seller consultation, client consultation, and pre-foreclosure Short Sale analysis.
There is no Guarantee given by the Consultant to the Client or Sellers regarding the outcome of each case. Each case is unique and cannot be predetermined as successful, until closing. The Consultant is not responsible for cases resulting in denial of workout option by any party to the transaction, foreclosure, or bankruptcy. The Consultant is not liable for the outcome of any transactions or other actions of the Client related to the subject property.
All terms of this contract are binding and final. Please initial below in acceptance of these terms.

SSQ CONSULTING COMPANY EXHIBIT B Rate of Services

Client agrees to pay SSQ Consulting Company for “Hourly” Consulting Services:
$200.00 First Hour Consultation Services per subject property. $100.00 Each Additional Hour Consultation Services per subject property calculated per minute and rounded to the nearest 15 minute interval. $ 50.00 Per Seller Questionnaire analysis, if determined to be an unsuccessful Short Sale prospect. This fee is waived upon acceptance of a Short Sale prospect. This charge is waived with the 50/50 split consulting service.
OR, Client agrees to pay SSQ Consulting Company for 50/50 Split Consulting Services: 50/50 Split 50/50 Split Consulting results in a fee to SSQ Consulting Company for 50% of the client’s real estate commissions and/or earnings from the sale, and is payable upon closing of the Short Sale. This consulting fee is not to be confused with real estate commissions. Loni Parmelly and SSQ Consulting Company only act on a consultant basis under this contract. SSQ Consulting Company or Loni Parmelly will not appear on final settlement statements.
If the Short Sale fails, for any reason during the 50/50 negotiations, charges per the hourly rate will be due and payable to the Consultant. The Client will not hold the Consultant responsible. Payment is due upon receipt. Payments are made payable to: SSQ Consulting Company, and should be mailed to PO Box 182184, Arlington, Texas 76096.
Other Fees Late charge (after 30 days) will be charged at a rate of $25.00.
NSF fees will be charged at a rate of $50.00.
NOTE: Per Subject Property – If an offer is cancelled or rejected, the next offer on the same subject property will be counseled at the rate of $100/hr thereafter until closed or foreclosed. Short Sale Failure – Advice will be given at some point in the consulting service whether the Short Sale will likely succeed, or fail. If failure is foreseen within the First Hour Session, the charges will be prorated based on the First Hour rate. If failure is foreseen during subsequent hours on the same subject property, charges will be prorated based on the Additional Hour rate of $100/hour.
